*Scope: These terms apply only to public areas of execution.capital. They do not govern registration, platform access, Ecosystem membership, VCI, Tickets, Expert Services or transactions.*

About these Website Terms

Execution Capital Ltd is a company incorporated in England and Wales under company number 16801359. Its registered office is at Flat 32 Admiral Court, 34 The Waldrons, Croydon, England, CR0 4GF. In these documents, references to “Execution Capital”, “we”, “us” or “our” mean Execution Capital Ltd.

These Website Terms of Use (Website Terms) govern access to and use of the public pages of https://execution.capital and any other public web page that expressly links to them (the Website). By using the Website, you agree to these Website Terms. If you do not agree, you should not use the Website.

What these Website Terms do not cover

The Website provides general information about Execution Capital, The Execution Capital Platform, Ecosystem Platforms, Operators, Investee Companies, Experts, Investors, Tickets and VCI. The public Website does not itself provide access to an Ecosystem Platform or constitute the issue, holding, use, cancellation, redemption, repurchase or transfer of VCI, the provision of Expert Services, or the completion of any investment, payment or other transaction.

Registration as a Registered User, admission as a Member of an Ecosystem Platform and any VCI or transaction matter are governed by the documents made available for the relevant arrangement, which may include:

• the Execution Capital Platform General Terms (General Terms);
• the terms for the relevant Ecosystem Platform (Ecosystem Terms);
• the applicable information memorandum (Information Memorandum) and any supplement to it (Supplement);
• the applicable deed poll constituting the relevant VCI (Deed Poll); and
• any application, Ticket, Expert Services agreement, subscription, settlement or other transaction document.

Together, those documents are referred to in these Website Terms as the Platform Documents.

*Priority of documents: If there is any inconsistency, the applicable Platform Documents prevail over these Website Terms in relation to the relevant Registered User, Member, Ecosystem Platform, VCI, Ticket, Expert Services or transaction matter.*

Information only - no offer, promotion or advice

Website content is provided for general information only. It is not intended to amount to legal, tax, investment, financial, regulatory, accounting, commercial or other professional advice, and you should not act or refrain from acting in reliance on it without obtaining advice appropriate to your circumstances.

Nothing on the Website constitutes an offer, invitation, solicitation, recommendation, financial promotion or inducement to acquire, hold, use, cancel, redeem, repurchase or otherwise deal in VCI, shares, securities or investments. No Website content constitutes a commitment to admit any person as a Registered User or Member, accept an application, appoint an Expert, select an Investee Company, make an investment or enter into a transaction.

Any rights and obligations relating to VCI arise only under the applicable Platform Documents. You should review those documents in full and take independent professional advice before making any decision concerning an Ecosystem Platform, VCI or transaction.

Accuracy and availability

We take reasonable care in preparing Website content, but it may be incomplete, illustrative, out of date or subject to change. We do not promise that the Website or any content will always be available, uninterrupted, secure or free from errors or harmful code. We may suspend, withdraw, restrict or change all or any part of the Website without notice where reasonably necessary.

Permitted use

You may access and view the Website for your own lawful, internal information purposes. You must not:

• use the Website in breach of any applicable law or regulation;
• attempt to gain unauthorised access to the Website, its servers, connected systems or non-public areas;
• introduce malicious code, carry out a denial-of-service attack, probe vulnerabilities or interfere with security or operation;
• scrape, crawl, harvest, index or systematically extract Website content or data, except through a search engine operating in accordance with our robots instructions;
• reverse engineer, decompile or attempt to derive source code, except to the limited extent that applicable law does not permit that restriction;
• impersonate another person, misrepresent your affiliation or submit information that is false, misleading, unlawful or infringes another person's rights; or
• use Website content to train, test or improve an artificial-intelligence model or for commercial exploitation without our prior written consent.

We may block or restrict access where we reasonably believe these Website Terms have been breached or the Website, users or third parties are at risk.

Intellectual property

All intellectual property rights in the Website and its content are owned by Execution Capital or its licensors. “Execution Capital”, “VCI” and associated names, logos and marks are proprietary marks of Execution Capital or their respective owners. Except for the limited right to view the Website under clause 5, no right or licence is granted to you.

You may print or download reasonable extracts for your own internal, non-commercial information, provided you do not alter them, remove notices or use graphics separately from accompanying text. Any other copying, reproduction, publication, distribution, adaptation or commercial use requires our prior written consent.

Information you send through the public Website

The public Website is not intended to receive confidential, commercially sensitive, clinical, technical, investment, special-category or proprietary information. Do not submit such information through a public form or general email address unless we have expressly requested it and appropriate terms are in place.

Information submitted through public forms must be accurate, lawful and provided by a person authorised to provide it. Our Website Privacy Notice explains how we use personal data. Submission of an enquiry or application does not create a confidential, advisory, fiduciary, partnership, agency, employment or contractual relationship, except where we expressly agree otherwise in writing.

The Website may link to third-party websites or resources. Links are provided for convenience and information only. We do not control or endorse third-party content and are not responsible for its availability, accuracy, security, privacy practices or terms. You should review the relevant third-party terms and notices before using those services.

Linking to the Website

You may link to the Website in a fair and lawful way that does not damage our reputation or suggest association, approval or endorsement where none exists. You must not frame the Website on another site or link from a site containing unlawful, misleading or infringing content. We may withdraw linking permission on reasonable notice.

If you are a consumer, we are responsible for loss or damage that is a foreseeable result of our breach of these Website Terms or failure to use reasonable care and skill. We are not responsible for unforeseeable loss or for business losses arising from consumer use. Nothing in these Website Terms affects mandatory consumer rights.

Privacy and cookies

Our Website Privacy Notice explains how we process personal data relating to public Website visitors, enquiries and pre-Member applications. Our Cookie Policy explains our use of cookies and similar storage or access technologies on the public Website. Separate privacy information may apply after registration, during onboarding, within an Ecosystem Platform or in connection with VCI and transactions.

Changes to the Website and these Website Terms

We may update the Website and these Website Terms from time to time. Changes take effect when the revised terms are posted, unless a later date is stated. Please check the last-updated date when you visit. Changes do not alter rights or obligations under Platform Documents unless those documents are changed in accordance with their own terms.

General, governing law, courts and contact

If any provision is unlawful or unenforceable, the remaining provisions continue in effect. A delay in enforcing a right is not a waiver. No person other than you and Execution Capital has a right to enforce these Website Terms under the Contracts (Rights of Third Parties) Act 1999.

These Website Terms and any non-contractual obligations arising from or connected with them are governed by the laws of England and Wales. If you use the Website for business purposes, the courts of England and Wales have exclusive jurisdiction. If you are a consumer, you may bring proceedings in the courts of the part of the United Kingdom in which you live, and any mandatory rights under the law of your habitual residence remain unaffected.
